Creator / Affiliate Program Terms

These Creator / Affiliate Program Terms (“Terms”) govern participation in the Botifex Creator and Affiliate Program (“Program”) operated by Botifex (“Botifex,” “we,” “us,” or “our”). By applying to the Program, accepting an invite or referral code, creating promotional content about Botifex, or otherwise participating as a creator or affiliate (“you,” “Creator,” or “Affiliate”), you agree to these Terms.
If you do not agree, do not apply, promote Botifex, or accept Program benefits. These Terms apply in addition to any general Botifex Terms of Service and Privacy Policy that apply to your use of Botifex products or websites.
1. Eligibility and application
Participation is by invitation or application and is subject to Botifex approval at our sole discretion. We may accept, reject, delay, or condition any application for any reason, including brand fit, audience quality, content history, legal risk, or capacity.
- You must be at least 18 years old (or the age of majority where you live, if higher) and legally able to enter binding contracts.
- You must provide accurate contact, platform, audience, and payment information and keep it current.
- You may not apply using false identities, stolen accounts, or misleading audience metrics.
- Botifex may require identity, tax, or payment verification before activating your account or issuing payouts.
- Approval for one campaign, code, or platform does not guarantee approval for others.
2. Program relationship
You participate as an independent contractor, not as an employee, partner, joint venturer, or agent of Botifex. Nothing in these Terms authorizes you to bind Botifex, make warranties on our behalf, or represent that you are employed by Botifex.
You are solely responsible for your own equipment, production costs, platform fees, taxes, and compliance with laws and platform rules that apply to your content and marketing activities.
3. Commission rates
- 20% of the amount paid on the referred customer’s first paid invoice (month 1).
- 10% of the amount paid on subsequent paid invoices for months 2–12 after attribution.
- No commission after month 12 (unless Botifex later offers lifetime or other special rates in writing).
- Commissions recalculate from the actual amount charged that billing cycle (including downgrades, prorations, credits, and discounts).
- $0 invoices (e.g. free trials with no charge, fully credited invoices) do not earn commission.
- Botifex may exclude taxes, fees, chargebacks, refunds, unpaid balances, and non-qualifying plan types from commissionable revenue.
- Only one affiliate may earn commission on a given qualifying referral under the attribution rules below.
4. Hold period, clawbacks, and adjustments
Commissions start as Pending for 60 days after payment. If no refund, dispute, chargeback, or other reversal occurs, they become Approved and eligible for the next manual payout.
- Refunds, chargebacks, payment failures, fraud findings, or self-referral discoveries during or after the hold may claw back commission, including from future Approved balances.
- Botifex may reverse or withhold commissions that were credited in error or that arose from prohibited traffic or policy violations.
- If your Program account is suspended or terminated for cause, Botifex may forfeit Pending commissions and, where permitted, unpaid Approved commissions tied to invalid or policy-violating referrals.
5. Valid referrals and attribution
- Attribution uses last-click wins within a 30-day cookie / tracking window, then attaches to the customer account at signup, unless Botifex configures a different method for a specific campaign.
- Self-referrals are prohibited (same person, household, business, email, payment method, or Botifex account as the affiliate, or other circumvention).
- Fraudulent traffic, bots, click farms, cookie stuffing, forced redirects, misleading ads, stolen leads, or incentive schemes that violate Botifex policies may result in suspension, termination, and commission forfeiture.
- You may not bid on Botifex brand terms in paid search, impersonate Botifex domains or support, or use trademarked Botifex names in domains, social handles, or ad copy in a confusing way without prior written approval.
- Botifex’s tracking and commission records are the system of record for Program earnings, subject to good-faith correction of clear errors.
6. Payouts
All creator payouts are handled through Stripe (or another processor Botifex designates). Approved balances are paid on a regular schedule (typically monthly). Botifex may set a minimum payout threshold, change payout timing, or require additional verification before release.
- You are responsible for providing a valid payout destination and for any taxes owed on Program income.
- Botifex may issue tax forms or request tax information where required by law.
- Failed, returned, or undeliverable payouts may be retried or held until corrected details are provided.
- Botifex is not responsible for processor delays, holds, or account restrictions on your side.
7. Promotional content standards
All posts, videos, streams, stories, shorts, ads, emails, landing pages, comments, and other materials you create or publish about Botifex, the Program, or Botifex products (“Promotional Content”) must be accurate, lawful, and consistent with Botifex’s brand and these Terms.
7.1 Required practices
- Describe Botifex features and pricing truthfully; do not invent capabilities, guarantees, earnings claims, or results.
- Clearly distinguish your opinions from Botifex’s official statements.
- Follow FTC endorsement guides and all applicable advertising, consumer protection, and platform rules.
- Use only assets, logos, screenshots, and brand materials that Botifex has approved or made available for affiliate use, and follow any brand guidelines we provide.
- Keep disclosures clear and conspicuous in every piece of Promotional Content where required (see Section 8).
7.2 Prohibited content and conduct
You may not publish Promotional Content that, in Botifex’s judgment:
- Is false, misleading, deceptive, or omits material facts.
- Is defamatory, harassing, hateful, discriminatory, sexually explicit, violent, or otherwise offensive in a way that harms Botifex’s brand.
- Promotes illegal activity, scams, malware, or unsafe practices.
- Infringes copyrights, trademarks, privacy, or publicity rights.
- Uses bots, fake engagement, purchased comments, or manipulated metrics.
- Targets minors in a way that is inappropriate or unlawful for the product or offer.
- Disparages Botifex, our team, customers, partners, or competitors in a way that is untruthful or abusive (honest comparative statements that are substantiated and fair may be allowed if they otherwise comply).
- Implies Botifex endorsement of third-party products, politics, or causes without written approval.
8. FTC and advertising disclosures
You must clearly and conspicuously disclose your material connection to Botifex in all Promotional Content. Examples include language such as “I may earn a commission if you sign up,” “Paid partnership with Botifex,” or an equivalent clear disclosure appropriate to the format and platform.
- Disclosures must be hard to miss (not buried, not only in a profile bio if the platform requires in-content disclosure, and not hidden behind “more” clicks when avoidable).
- Use platform-native branded content / paid partnership tools where required or customary.
- Failure to disclose, or repeated disclosure violations, may result in content remediation demands, suspension, termination, and commission forfeiture.
9. Content review, modification, and take-down authority
By participating in the Program, you expressly authorize Botifex to review your Promotional Content and to require that such content be taken down, unpublished, edited, corrected, captioned, re-titled, re-thumbnailed, re-disclosed, or otherwise modified—at any time and for any reason Botifex deems appropriate, including without limitation brand preference, tone, accuracy, legal risk, platform policy, reputation, quality, or simple disagreement with how Botifex or our products are portrayed.
9.1 Our rights
- Take-down / unpublish: We may require you to delete, archive, privatize, or otherwise remove any Promotional Content (including posts, videos, Shorts, Reels, TikToks, livestreams VODs, stories, ads, and pin comments) within the deadline we specify.
- Modification: We may require specific edits, including script changes, voiceover changes, on-screen text, disclaimers, demos, claims, music, overlays, links, CTAs, thumbnails, titles, descriptions, hashtags, and pinned comments.
- Pre-approval: We may require prior written approval before you publish certain formats, claims, or campaigns. Publishing without required approval is a material breach.
- Asset control: We may revoke permission to use Botifex trademarks, logos, footage, screenshots, or other brand assets at any time; upon revocation you must stop using them and remove or replace affected materials as directed.
- No obligation to approve: Botifex has no duty to pre-review content. Lack of objection does not waive our right to later require take-down or modification.
9.2 Your obligations when we ask
- You will comply with take-down or modification requests within the timeframe stated in our notice (or within 48 hours if no timeframe is stated), unless we require faster action for legal, safety, or platform-urgency reasons.
- You will confirm in writing (email or another channel we designate) when the requested action is complete and provide links or proof reasonably requested by Botifex.
- You will not re-upload, mirror, or substantially republish content we required you to remove or alter unless we approve the new version in writing.
- If content cannot be fully deleted due to platform limitations, you will take the maximum available steps (e.g. private, unlist, edit, disable comments, remove links) and notify us.
9.3 Failure to comply
Failure to timely comply with a take-down or modification request is a material breach of these Terms. Botifex may immediately suspend or terminate your Program participation, withhold or forfeit Pending and unpaid Approved commissions related to the violation, revoke your referral code, and pursue other remedies available at law or equity. You remain responsible for any third-party claims arising from content you refuse to remediate after notice.
10. License to Botifex
You grant Botifex a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and create limited excerpts of your Promotional Content and your public creator name/likeness/handle solely for Program administration, brand marketing, case studies, and internal training, unless you and Botifex agree otherwise in writing. You represent that you own or have rights to grant this license for content you submit or publish about Botifex.
This license does not transfer ownership of your content to Botifex. Botifex’s trademarks and product materials remain Botifex property; your limited permission to use them ends when your Program participation ends or when we revoke it.
11. Confidentiality
You may receive non-public information about Botifex roadmaps, pricing tests, unreleased features, affiliate rates, or internal processes. You will not disclose that information except as required by law or with Botifex’s prior written consent. This obligation survives termination.
12. Compliance and audits
Botifex may investigate suspected fraud, disclosure failures, or policy violations, including requesting traffic sources, creative samples, and campaign settings. You agree to cooperate reasonably. We may pause tracking, codes, or payouts during an investigation.
13. Termination
Botifex or you may end Program participation at any time, with or without cause, by notice (including email or dashboard notice). Botifex may suspend or reject applications, codes, or accounts for policy, fraud, brand, quality, legal, or business reasons.
- Upon termination, you must stop representing yourself as a Botifex affiliate/creator, stop using Botifex brand assets (except as needed to complete an outstanding take-down/edit request), and remove or edit Promotional Content as we direct under Section 9.
- Approved unpaid commissions for valid referrals remain subject to hold, clawback, fraud review, and these Terms; Botifex may withhold amounts while resolving open compliance issues.
- Sections that by nature should survive (including content take-down obligations already noticed, clawbacks, confidentiality, licenses already exercised, and liability limits) survive termination.
14. Disclaimer and limitation of liability
The Program is provided “as is.” Botifex does not guarantee any level of earnings, traffic, approval, ranking, or continued availability of tracking, codes, or payouts. To the maximum extent permitted by law, Botifex is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from the Program or these Terms. Botifex’s total liability arising out of the Program will not exceed the commissions actually paid to you in the three (3) months before the claim.
15. Indemnification
You will indemnify and hold harmless Botifex and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your Promotional Content, your marketing practices, your failure to disclose, your failure to comply with take-down or modification requests, your violation of law or platform rules, or your breach of these Terms.
16. Changes
Botifex may update Program rates, rules, or these Terms prospectively. Material changes will be posted on this page with an updated “Last updated” date. Continued participation after changes become effective constitutes acceptance. If you do not agree, you must stop participating and contact us to close your Program account.
